    Terms of Service

    Last updated: July 31, 2026

    1. Acceptance of Terms

Welcome to Velrix. We're excited to work with you! These Terms of Service ("Terms") govern your use of our website, services, and any related applications or platforms (collectively, the "Services") operated by Velrix ("we," "us," or "our").

Our Philosophy: We believe in building transparent, long-term partnerships with our clients. These terms are designed to protect both parties while ensuring we can deliver the best possible service to you.

    2. Description of Services

Velrix provides software development services, including but not limited to:

    • AI automation systems
    • Internal tools and dashboards
    • SaaS MVP development
    • Automation assessments — a fixed-price week that establishes whether a build is worth doing
    • The backend, frontend, and infrastructure work those require

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

    3. User Responsibilities

    3.1 Acceptable Use

When using our Services, you agree to:

    • Provide accurate and complete information
    • Use our Services only for lawful purposes
    • Respect intellectual property rights
    • Maintain the confidentiality of any account credentials
    • Comply with all applicable laws and regulations

    3.2 Prohibited Activities

    You agree not to:

    • Use our Services for any illegal or unauthorized purpose
    • Attempt to gain unauthorized access to our systems
    • Interfere with or disrupt our Services
    • Transmit viruses, malware, or other harmful code
    • Violate any applicable laws or regulations
    • Infringe upon the rights of others

    4. Service Agreements

Specific services provided by Velrix will be governed by separate service agreements or statements of work that will include:

    • Project scope and deliverables
    • Timeline and milestones
    • Payment terms and pricing
    • Intellectual property arrangements
    • Confidentiality provisions
    • Support and maintenance terms

In case of conflict between these Terms and a specific service agreement, the service agreement will prevail.

    5. Intellectual Property

    5.1 Your Project, Your Ownership

Simple Principle: The custom software we build for you belongs to you. The assignment of intellectual property is signed before work begins, not held back as leverage at the end, and it covers all custom code, designs, and functionality specifically created for your project.

Assigning it up front does not waive our right to be paid. Non-payment is handled as a breach under section 12, not by reclaiming work you have already received.

We respect your intellectual property rights and ensure you retain full ownership of your business logic, proprietary algorithms, and unique features developed during our engagement.

5.2 Open Source and Third-Party Components

Modern software development relies on established libraries, frameworks, and open-source components (like React, databases, payment processors, etc.). These components:

    • Remain under their original licenses and ownership
    • Are not owned by us or transferable to you
    • Are industry-standard tools that make your project more reliable and cost-effective
    • Allow you to benefit from ongoing community improvements and security updates

    5.3 Our Company Assets

Our company branding, proprietary development methodologies, and general business processes remain our intellectual property and are not transferred with project delivery.

    6. Payment and Billing

Payment terms for our Services will be specified in individual service agreements. General payment provisions include:

    • Fees are due according to the payment schedule in your service agreement
    • Late payments may incur additional charges
    • All fees are non-refundable unless otherwise specified
    • You are responsible for all taxes related to your use of our Services
    • We reserve the right to suspend services for non-payment

    7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

    8. Confidentiality

We understand that you may share confidential information with us during the course of our engagement. We agree to:

    • Maintain the confidentiality of your proprietary information
    • Use confidential information only for the purpose of providing Services
    • Not disclose confidential information to third parties without consent
    • Return or destroy confidential information upon request

Detailed confidentiality provisions may be included in separate non-disclosure agreements or service agreements.

    9. Our Service Commitment

    9.1 What We Promise

We are committed to delivering high-quality services and stand behind our work. We warrant that:

    • Our services will be performed professionally and in accordance with industry standards
    • We will use our best efforts to meet agreed-upon timelines and specifications
    • We will promptly address any issues that arise during development
    • Every project includes 30 days of support after launch, at no additional charge. Maintenance beyond that is arranged separately.

    9.2 Realistic Expectations

While we strive for excellence, software development involves inherent complexities. We want to set realistic expectations:

    • No software is completely bug-free, but we commit to fixing issues promptly
    • Third-party services and integrations may occasionally experience downtime
    • Technology evolves rapidly, and we'll help you adapt to necessary updates
    • Specific warranties and guarantees will be detailed in your service agreement

    10. Responsibility and Liability

We take responsibility for our work and want to be fair to both parties. Our liability approach:

    • Direct Issues: If we make an error, we'll fix it at no charge during the project period
    • Project Scope: Our liability is limited to the direct services we provide
    • Third-Party Services: We're not responsible for external service outages or changes
    • Business Decisions: We provide technical implementation, not business strategy guarantees

Fair Limit: Our total financial liability is limited to the amount you paid for the specific service in question. This protects both parties while ensuring we remain accountable for our work quality.

    11. Mutual Protection

We believe in mutual protection and fair responsibility sharing:

    • Your Content: You're responsible for ensuring your content, data, and business processes are legal and don't infringe on others' rights
    • Our Work: We're responsible for ensuring our code and implementations don't violate applicable laws
    • Third-Party Claims: If someone claims our custom work infringes their rights, we'll handle it. If they claim your content or business model does, that's your responsibility
    • Reasonable Cooperation: We'll work together to resolve any legal issues that arise

    12. Project Completion and Termination

We prefer to complete every project successfully, but understand that circumstances can change:

    12.1 Normal Project Completion

Most projects end successfully with delivery of the agreed-upon software and a satisfied client. Upon completion, you receive all deliverables and ownership transfers as specified in your service agreement.

    12.2 Early Termination

Either party may terminate a project early for reasonable cause, including:

    • Material breach of agreement (with opportunity to cure)
    • Non-payment after reasonable notice
    • Significant change in project requirements
    • Mutual agreement that continuation isn't beneficial

In case of early termination, you'll receive all completed work and pay only for work performed to that point.

    13. Dispute Resolution

    13.1 Governing Law

Velrix operates from Istanbul, Türkiye. These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to conflict of law provisions, and the Istanbul Courts and Enforcement Offices have jurisdiction. Where a signed service agreement names a different governing law, that agreement prevails.

If you are a consumer resident in the European Economic Area or the United Kingdom, this does not deprive you of the protection of the mandatory consumer law of your own country.

    13.2 Dispute Resolution Process

Any disputes arising out of or relating to these Terms or our Services shall be resolved through:

    1. Good faith negotiations between the parties
    2. Mediation, if negotiations fail
    3. Binding arbitration, if mediation is unsuccessful

    14. General Provisions

    14.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Velrix regarding your use of our Services.

    14.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

    14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

    14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
